User Obligations

When using our services, you agree to:

Provide accurate and complete information when requesting services or submitting inquiries

Use our services only for lawful purposes and in accordance with these terms

Not attempt to gain unauthorized access to our systems or interfere with service operations

Respect intellectual property rights and not infringe upon the rights of others

Intellectual Property

All content, designs, code, and materials created by UYSD as part of our services remain the property of UYSD until full payment is received.

Upon full payment, ownership of the delivered work product transfers to the client as specified in the project agreement.

UYSD retains the right to use completed projects for portfolio and marketing purposes unless otherwise agreed.

Payment Terms

Payment terms are specified in individual project agreements. Generally:

Projects typically follow a payment schedule (e.g., 30% deposit, 40% at milestone, 30% upon completion)

All prices are quoted in PLN (Polish Zloty) unless otherwise specified

Payment is due according to the agreed schedule. Late payments may result in project delays or suspension of services

Factory packages combine a one-time setup fee with a recurring monthly subscription (hosting, maintenance, and support while subscribed). Exact fees are confirmed in your written proposal; published pricing on our website is indicative

Delivery and Timeline

We strive to deliver projects within agreed timelines.

Delivery dates are estimates based on project scope and client cooperation.

Delays may occur due to factors beyond our control, including but not limited to: client feedback delays, third-party dependencies, or scope changes.

We will communicate any significant delays promptly.

Warranty and Support

UYSD provides a 30-day warranty period after project delivery for fixing any bugs or issues that are our responsibility. This warranty covers defects in workmanship and functionality as originally specified. Support beyond the warranty period may be available under separate maintenance agreements.

Limitation of Liability

To the maximum extent permitted by law, UYSD shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claims shall not exceed the total amount paid by the client for the specific service in question.

Termination

Either party may terminate a service agreement with written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. UYSD reserves the right to suspend services immediately in case of non-payment or breach of these terms.

Changes to Terms

UYSD reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Poland. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Kraków, Poland.

Factory packages and monthly hosting

Factory packages combine a one-time setup fee with a monthly subscription that keeps your site online on UYSD infrastructure.

Included while subscribed: hosting on EU infrastructure (OVH), SSL certificates, security updates, platform maintenance, backups, monitoring, and standard support.

We may provide a branded preview on a UYSD preview URL before go-live on your domain. You remain responsible for content, branding assets, and legal pages unless we agree additional services in writing.

Adding modules later (e.g. shop or blog on an existing corporate site) is quoted as an add-on to your monthly plan.

Subscription suspension

Your factory site remains available while the monthly subscription is active and paid.

If a recurring payment fails, we notify you and allow a reasonable grace period. If payment is not resolved, we may mark the subscription as suspended: visitors may see a suspension notice and administrative or API access may be limited until payment is restored.

Suspension is not the same as deletion — we retain tenant data as described in your agreement and our Privacy Policy so you can reactivate after settling outstanding invoices.

We may suspend services immediately for material breach of these terms, unlawful use, or non-payment outside the factory subscription context.
